SUN Sports & Entertainment Inc. (SUN) is a professionally managed sports and entertainment company headquartered in Dallas (stock symbol SSPE) . The Company owns the SUN, "Art of War" ( license and brand and was responsible in forming the International Fighters Association ( both of which are awaiting trademark approval. SUN organizes mixed martial arts competitions
and delivers exciting high-energy mixed martial arts and boxing events to millions of viewers across the globe via cable and satellite television. The Company has put together a series of mixed martial arts events that are scheduled for production in 2007 and will be broadcast across selected international markets. These events can be viewed on HD Net, Pay-Per-View and a variety of other platforms.

The Company produces and promotes international sports events focusing particularly on combat sports such as mixed martial arts. The "Art of War" events promoted by the Company feature highly ranked martial artists who compete for the prestigious World Championship Belt. The Company also produces events that are ranked by the International Fighters Association (IFA), a non-profit organization.
The IFA provides a platform for ranking the sport's top performing competitors. It also provides key statistics on current fighters and promotes upcoming fighters in the Mixed Martial Arts arena. The IFA website provides rankings, registers new fighters, and arranges and oversees national and international combat events.

SUN has recruited Guy Mezger, a former Ultimate Fighting Champion, as its "Match Maker. He will play the role of an advisor and organizer for all of the Company's future mixed martial arts events. In addition, the Company recruited renowned announcer, Bruce Buffer, as its event moderator and ring announcer.

Market Opportunity
Mixed martial arts is one of the world's fastest-growing combat sports entertainments. The sport is extremely popular with males between the ages of 18 and 34 and is a preferred entertainment of the high tech generation. Because of the audience demographics, the sport is attracting a growing number of advertisers
interested in reaching this elusive target audience. Industry sources estimate the potential market for mixed martial arts events currently approaches $1 billion. The sport is presently dominated by privately-owned Ultimate Fight Championship.
Aggressive International Expansion
SUN is rapidly expanding its global footprint through strategic partnerships and licensing agreements with groups interested in becoming part of one of the world's fastest-growing sporting events. The Company offers business concepts for hosting events or works with partners to jointly produce mixed martial arts or professional boxing events both nationally and internationally. In addition, SUN offers event package deals, which include top-ranked fighters, large-scale media coverage, assistance merchandizing the Company's branded product at the event, broadcasting rights and associated revenue-generating services. SUN may also form alliances with broadcasting companies to air their events on a Pay-Per-View basis.

IFA World Championship Event
SUN has several major upcoming events in the pipeline in 2007 that will solidify the Company's position as a leading organizer of MMA events. The Company has teamed up with IFA to organize the first IFA world championship event. The Art of War premiered March 9, 2007 and featuring top-ranked heavyweights Pedro Rizzo and Justin Eilers. Other featured competitors included Matt Grice (3-0, Oklahoma Sooner wrestling legend), Justin Wren (4-0, Dallas Jesuit and Iowa State wrestling star) and local Dallas market favorite, Alonzo Martinez (15-8). Tickets for the event were priced from $30 to $300 with a tremendous turn out of 6722 enthusiastic fans.

Strategic Agreement with HD Net
SUN is seeking strategic partnerships with broadcast networks to televise its events. The Company has awarded HD Net exclusive rights to produce and distribute Art of War scheduled events. HD Net will have exclusive rights to record all ten mixed martial arts event and broadcast the events on their network at later dates. HD Net will share revenues resulting from this exclusive broadcast arrangement with the Company on a proportionate basis. Similar agreements and exclusive broadcast deals are being explored with partners with countries having large audiences for mixed martial arts events.

Management Expertise

SUN CEO is a former Boxing Manager/Promoter and has launched several private and public company's in marketing and consumer product distribution. Mr. Comu was also the former Chairman/CEO of AIRTECH a publicly traded company. SUN President J. Buckeye Epstein who has over 25 years of a diverse background in sports, marketing and financial management including the past president of Major League Baseball Youth Marketing Program MLB "Pitch, Hit and Run". SUN CFO, Phil Miller, CPA who initiated and executed two Initial Public Offerings (Micrografx NASD-MGXI and El Chico NASD-ELCH) and most recently acted as interim CFO for Immediatek Inc. (IMKI.OB), which was acquired by Radical Holdings LP (owned by and HDnet and Dallas Maverick's owner Mark Cuban). Lester Bedford, Boxing Consultant who has produced more than 400 Professional Boxing events nation-wide, Mr. Bedford has produced and managed Fights for Lou Duva, Don King, Bob Arum, Oscar De LaHoya and others networks.
